terms of service.

who's behind this

panoload (the "service") is operated by vizbase ltd, a company registered in latvia ("we", "us"). by creating an account or using the service, you ("you", "user") agree to these terms. if you don't agree, don't use the service.

what panoload is

panoload is a virtual set tool. you upload (or generate) a 360 panorama, frame the shot, optionally upscale, and download. it routes generation and upscale requests to third-party ai providers (currently openai and freepik / magnific) on your behalf.

account and eligibility

• you must be at least 16 to create an account.
• provide accurate sign-up information and keep it current.
• you're responsible for activity under your account. don't share credentials.
• one account per person, except where we've agreed otherwise in writing.
• we may suspend or terminate accounts that abuse the service or breach these terms.

credits, payments, and subscriptions

• panoload uses a credit system. see pricing for current rates.
• payments are processed by stripe in eur. by subscribing or topping up, you also agree to stripe's terms.
• credits are non-refundable once granted, except where required by law (eu consumer rights and similar).
• topup credits do not expire. monthly grants reset each billing cycle and don't roll over unless explicitly stated.
• pro subscriptions auto-renew until cancelled. cancel any time via the customer portal — cancellation takes effect at the end of the current billing period; you keep access until then.
• if a generation or upscale fails on our side, the spent credits are refunded automatically.
• we may change prices. material changes will be communicated at least 14 days in advance to active subscribers.

your content

• you keep all rights to what you upload and to what panoload generates from your input.
• you grant us a limited, non-exclusive, royalty-free licence to host, process, and transmit your content solely to provide the service to you (e.g. send it to openai or freepik for processing on your behalf, store it on vercel blob, render it in your browser).
• you confirm you have the right to upload anything you submit and to send it to our subprocessors.
• we don't claim ownership of your content. we don't train ai models on it. we don't use it for marketing.

third-party services

some features rely on third parties — openai for image-to-360, freepik / magnific for upscaling, google for oauth, stripe for payments. when you use those features, the relevant third party also processes your content under their own terms. we don't control their behaviour, pricing, or availability, and we're not responsible for their actions.

acceptable use

don't:

• upload illegal, infringing, or unauthorised content.
• generate content that violates the terms of openai, freepik, or other downstream providers — including csam, hate speech, harassment, or deceptive deepfakes of real people.
• circumvent rate limits, scrape the service, or abuse free credits via multiple accounts.
• resell, sublicense, or redistribute the service itself.
• interfere with the service's operation, integrity, or security.

we may suspend or terminate accounts that breach these rules and, where required, report illegal content to authorities.

service availability

panoload runs on vercel and depends on third-party ai providers. we aim for high uptime but make no specific availability guarantees and don't offer an sla. we may modify, suspend, or discontinue features at any time. for material changes, we'll give reasonable notice.

intellectual property

panoload — the codebase, ui, brand, and underlying technology — belongs to vizbase ltd. we grant you a limited, non-transferable, revocable licence to use the service for the duration of your account. you don't get any other rights to our ip.

disclaimers

panoload is provided "as is" and "as available". to the maximum extent permitted by law, we disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose, and non-infringement. ai-generated output may be inaccurate, biased, or unsuitable for your use case — verify before relying on it.

limitation of liability

to the maximum extent permitted by law:

• our total liability arising out of or related to these terms is capped at the amount you paid us in the 12 months before the event giving rise to the claim, or eur 100, whichever is greater.
• we're not liable for indirect, consequential, incidental, or special damages, lost profits, lost revenue, or lost data.
• nothing in these terms limits liability that cannot be excluded under applicable law (e.g. for fraud, gross negligence, or death / personal injury caused by us).

indemnity

you agree to indemnify and hold vizbase ltd harmless from claims, losses, and reasonable costs (including legal fees) arising from your misuse of the service, your content, or your breach of these terms.

termination

• you can delete your account any time via settings or by emailing us. unused topup credits are non-refundable.
• we may suspend or terminate your access if you breach these terms, fail to pay, or misuse the service. for material breaches, suspension may be immediate.
• on termination, your account data is deleted within 30 days, except where retention is legally required (e.g. billing records).

governing law and disputes

these terms are governed by the law of latvia, without regard to its conflict of laws rules. disputes will be resolved by the courts of latvia, except where eu consumer law gives you the right to bring a claim in your country of residence — that right is preserved.

changes to these terms

we may update these terms. material changes will be emailed to active subscribers at least 14 days before they take effect. continuing to use panoload after changes means you accept them. if you don't, you can cancel.

miscellaneous

• entire agreement — these terms, the privacy policy, and the pricing page are the full agreement between you and us about panoload.
• severability — if any clause is unenforceable, the rest stays in effect.
• no waiver — not enforcing a clause once doesn't waive our right to enforce it later.
• assignment — you can't transfer your account without our written consent. we may assign these terms in the context of a merger, acquisition, or sale of business.
• force majeure — we're not liable for failures caused by events outside our reasonable control.
• notices — we'll send notices to the email on your account. you can reach us at hello@panoload.com.
